These Guidelines are to assist and guide the Board of Directors in the exercise
of its responsibilities and include guidelines regarding director qualification
standards, director independence and responsibilities, and the annual
performance evaluation of the Board of Directors.

This Code is applicable to all directors, officers and employees of the Company
and contains the guidelines that our directors, officers and employees are
expected to adhere to in the conduct of the Company's business.

This Code contains the written standards that are designed to promote, among
other things, honest and ethical conduct, full, fair and accurate disclosure in

This Policy is applicable to all directors, officers and employees of the
Company, and to the officers and employees of the Company's Affiliates, and
sets forth securities trading guidelines designed to promote compliance with
federal securities laws.

Copies of the Board of Directors' Corporate Governance Guidelines; the charters
for the Audit, Compensation and Nominating and Governance Committees; the Code
of Business Conduct and Ethics applicable to the Company's directors, officers
and employees; the Code of Ethics applicable to the Company's chief executive
officer and senior financial officers; and the Insider Trading Policy
and Procedures applicable to the Company's directors, officers and
employees and the officers and employees of the Company's Affiliates will be
provided without charge to any person upon request of such person to John
